The Competition Commission has just approved the $JSEPMR Premier Group / $JSERFG Rhodes Foods Group deal
The CC sees no issues with the transaction. It’s now off to the Tribunal and as it’s uncontested, a decision may come in late Feb well in time from the original deal timeline indicated by Premier

Headline Financial Highlights
🔹Group Turnover: +5.4% (+6.1% in constant currency)
🔹 Woolworths SA turnover: +6.8%, above market
🔹 Country Road Group sales: +2.3% (+2.5% comparable-store)
Earnings Guidance:
🔹HEPS: 163.5 – 171.1 cents (+7.0% to +12.0%)
🔹EPS: 159.5 – 171.8 cents (-30.0% to -35.0%)
Note: EPS decline is due to the base effect of the Bourke Street property sale in the prior period.
Operational Overview
Food (SA): Remains the defensive anchor with turnover +7.0% and comparable growth of +5.2%. Market share gains continued.
Woolies Dash: Delivered exceptional growth of 23.0%, now contributing 7.2% to SA Food sales.
Fashion, Beauty & Home (SA): Turnover +6.2%. Beauty (+8.9%) and Home (+14.0%) outperformed Fashion (+6.1%).
Country Road Group (Aus): Sales +2.3%. Trading was softer than expected in December after a strong Black Friday.
Financial Services: Book grew 1.8%; impairment rate of 6.4% remains sector-leading.
Capital Allocation
- Share Buybacks: 6.9 million shares repurchased during the period at an average price of R51.23.
- Investment: Midrand distribution centre expansion is progressing, though currently impacting GP margins due to depreciation.
