Toys"R"Us ANZ Limited (Subject to Deed of Company Arrangement) (ASX: TOY) (TOY or Company)
refers to its announcement on 7 July 2025 in relation to the second creditors meeting where creditors
considered a proposal received from Directed Electronics Australia Pty Ltd to acquire all of the shares in the Company pursuant to the terms of a deed of company arrangement (DOCA).

The creditors of the Company resolved to execute the DOCA. The DOCA was executed on 31 July
2025.

The key terms of the DOCA include:

All the Company's issued shares being transferred to Directed Electronics Australia Pty Ltd subject to Court granting leave under section 444GA of the Corporations Act 2001 (Cth) and relief being granted by ASIC;

Establishment of a Creditors' Trust Deed;

Replacement of officers of the Company;

De-listing of the Company from ASX.
