In a high speed pursuit, depending on the city, the police will allow the person to get away if they believe the pursuit is putting innocent people in harms way.

The @SECGov was proud to file charges accusing John Brda and George Palikaras of creating a scheme to create a short squeeze related to the reverse merger between Torchlight and Metamaterials...

But here's "some" of the things they leave out!

Historical evidence appears to show that Torchlight was illegally manipulated. If this manipulation was addressed by the SEC, there'd be no reason to seek alternative ways to retain shareholder value via the reverse merger & Series A.

Everything related to the reverse merger was made transparent, approved by shareholders, and made effective by the SEC, but the SEC had to know about the manipulation in Torchlight.

So maybe the SEC knew about the circumstances surrounding how the Options developing in Torchlight just about a week before the merger.

Isn't this worthy of an investigation?

Isn't it interesting that the SEC issued subpoenas in September 2021 related to the reverse merger, which we now know from the official charges that didn't come until 2024, were all about scheme to create a squeeze.

And by pure coincidence, the Series A became tradeable a month later as MMTLP, due partly to the OCC memos that delayed settlement, seemingly predicting that it would become tradeable.

Doesn't the SEC share oversight of the OCC?

More than 4 years later there's been zero transparency as to how the options came to be!

Very similar to the mystery of who used outdated company information to get MMTLP trading.

How about John Brda and George Palikaras being ignored when they complained about the Series A becoming tradeable?

What's fair and orderly about investors buying $TRCH at $10+ because holding through the merger was supposed to be the only to get the Series A, only to then see it selling for 10 cents, up to about $3 before leveling out to about $1.25 for more than a year?

Then, just like the reverse merger, the SEC made the spin-off S1 effective, even though they believed John Brda and George Palikaras were guilty of scheming to create a short squeeze...

The SEC somehow thought it would be good for investors if they ignored the fact that the spin-off might have some of the same features of an alleged scheme to create a short squeeze. Oops!

This of course led to FINRA breaking their own Rule 6490, ignoring the SEC's pending adjudication (the same way the SEC did), and ignoring the blue sheet investigation initiated the day before the first MMTLP Corporate Action was published (the SEC also ignored this), altering the wording and dates of BOTH Corporate Actions and not allowing the issuer to protest the changes...

It almost seems like the SEC chose to enact secret countermeasures to thwart what they allege were schemes to create short squeezes, but the short squeezes wouldn't have been possible if the SEC did their job to address the FTDs etc.

So while investors of all types, those that might've invested for a squeeze, which is not illegal, and investors that had other reasons...

The SEC seemingly treated them all as justifiable casualties and/or co-conspirators because shortly after the U3 halt, they filed charges against the Atlas 8 group for pumping multiple securities including Torchlight...

And they did NOTHING to facilitate orderly settlement, otherwise known as "their job".

There's so much more regarding the SEC's role in this!
