Based upon this exchange, the @SECGov reached-out to my office to inform me that this is currently under investigation.
I proudly joined my colleagues in demanding MMTLP transparency back in 2023 and I thank the Trump admin–SEC for fighting to ensure that this issue is resolved.

65,000 retail investors have assets FROZEN 2.5 YEARS and are really hurting. Many have lost their life savings and a few have even lost their lives.
Here is the MMTLP fiasco in a nutshell:
$MMTLP was decimated with counterfeit shares, aka naked shorts. Company goes private and all short positions were expected to close. A massive SHORT SQUEEZE was imminent, so FINRA halted trading which left 65,000 longs & shorts TRAPPED for over 2.5 YEARS. This prevented the planned 1-for-1 share exchange with private company Next Bridge Hydrocarbons because there were TOO MANY SHARES!
GROK xAI analyzed all available data regarding MMTLP
as of July 2025 and concluded:
"You are correct that the 1-for-1 exchange is INCOMPLETE. FINRA’s claim that the distribution was completed overlooks the practical issue that brokers may have credited accounts with PLACEHOLDERS rather than genuine shares. ... The exchange cannot be completed until NBH obtains a verified share count from brokers and the SEC approves a new S-1 which has been stalled!"
MMTLP had been on FINRA's OTC THRESHOLD LIST for 41 consecutive trading days, and no attempt was made to resolve the FTDs! As you know, persistent FTDs are indicative of naked short selling. FOIA'd emails between The SEC and FINRA show #MMTLP hit their "Fraud Radar" and BLUE SHEETS were pulled for MMAT & MMTLP on Dec 5, 2022. Three days later, FINRA published their revised CA Notice which led investors, brokers, and even Jeff Mendl, VP of OTC Markets, to believe we had a few days to exit our positions. Less than 12 hours later, FINRA pulled the rug from under us by issuing a rare #U3Halt which left ALL short positions and FTDs open and made the planned 1-for-1 share exchange impossible.
GROK xAI:
"The U3 halt was unprecedented in its timing and scope, as it froze trading just before the corporate action’s completion, preventing short sellers from covering and potentially exacerbating the imbalance.

The halt effectively shifted the burden of unresolved short positions to NBH, a private company, which is unusual and arguably inappropriate, as private companies should not bear the consequences of public market shorting."
📌FACT: FINRA, either through incompetence or collusion, CAUSED the very "settlement issue" they blamed for their U3-Halt of MMTLP‼️
Meta Materials Series-A Preferred Share was a dividend placeholder for oil and gas assets and never meant to trade. After being fraudulently listed on OTC Markets under the ticker "MMTLP," and despite objections from CEO George Palikaras, FINRA allowed trading to continue for over one year.
To make matters worse, FINRA violated their own Rule 6490 and DRAFTING TWO CORPORATE ACTION NOTICES w/o consent of Meta Materials! FINRA inserted an incorrect date of 12/13/22 into their CA notice creating confusion and a "settlement issue" they used to justify a permanent halt of MMTLP.
Meta Materials was NOT given any opportunity to correct FINRA's "typos" or to delay the share exchange. In fact, Meta Materials was WARNED NOT TO OBJECT! We believe this was an attempt to prevent another GameStop-style short squeeze, and that FINRA DELIBERATELY CAUSED THIS MMTLP FIASCO!!
The SEC and FINRA have done their very best to cover up and obfuscate this scandal. Nearly 100 members of Congress, including then Senator @JDVance, signed various letters to The SEC and FINRA demanding answers and an #AuditedShareCount on behalf of the 65,000 retail shareholders left anguishing in limbo for 953 days. So far, these requests have been ignored or rejected.
Just as Congress was turning up the heat on Gary Gensler, @SECGov deflected by filing a BOGUS case in June 2024 against former Meta Materials CEO George @Palikaras and former Torchlight Energy Resources CEO @JohnBrda for alleged #MarketManipulation in their attempt to force closure of illegal short positions in $TRCH through a reverse merger into $MMAT. Despite this alleged fraud occurring before the existence of $MMTLP, this case has been used to divert attention and delay accountability to Congress and to shareholders.
Whether you believe these charges are justified or not, the former CEOs had NOTHING to do with MMTLP's "Motherlode" of #CounterfeitShares, FINRA breaking their own rules, FINRA's "coding issues" and CA errors, FINRA's apparent collusion with member firms all having exposure to MMTLP before issuing their U3-Halt, the incomplete 1:1 distribution of NBH shares, the SEC's record-breaking ongoing delay in approving Next Bridge Hydrocarbons' S-1, or FINRA's infamous MMTLP FAQ of LIES.
Mr. Atkins, WHY is The SEC hiding the share count for a dead ticker that hasn't traded in over 2 years? You ALREADY HAVE this information. FOIA'd emails show the Blue Sheets were pulled on 12/5/22. WHY did FINRA LIE in their MMTLP FAQ stating there was only an "insignificant" imbalance of 2.65M shares? WHY does the SEC continue to delay approval of #NBH's S-1 after 30 MONTHS and multiple revisions? WHY did Gary Gensler feign ignorance of MMTLP when being questioned in a Congressional hearing? WHY LIE?
I hear that NBH has been submitted to The Guinness Book of World Records for the longest S-1 approval in history. Previously, I believe $DJT held that record at about 2 years. As you may know, Trump Media CEO @DevinNunes attached our MMTLP Open Letter signed by 74 US Congressmen to his letter to Congress requesting they look into manipulation of DJT stock. Watch out! The lid is about to blow off of this pressure cooker!💥
Mr. Atkins, I don't envy you trying to clean up this mess. Please do not repeat the mistakes of your predecessor. Transparency is key. There are some very smart people involved in this stock that have dedicated over two years of their lives to uncovering the truth. We probably know far more than you think we do... and we still have a few aces left to play.
Our ask is simple. We want an audited and consolidated share count of all 105 brokers that traded MMTLP. Then we want what FINRA stole from us... 2 days of PCO trading. The SEC warns that short selling comes with "unlimited risk." Let's prove that theory. An example should be made by putting the fear of God into the criminals who continue to steal from investors by naked shorting the US Stock Market to oblivion.
Work with Next Bridge Hydrocarbons to temporarily relist MMTLP under a new ticker and allow two days of forced position-close-only trading. No new buys, no limits, no dark pools, no funny business... Just brokers and short hedge funds buying and extinguishing our contra-cusip IOUs for NBH until any imbalance above the original 165.5M issued shares has been resolved.
Alternatively, a blanket settlement to all shareholders. Post-halt, Bank of Montreal valued their MMTLP holdings at $1,190 per share... That's a start, but I think after 2.5 years of this living nightmare, our price has gone up. (Grok's "fair price" settlement estimates were posted on 7/17/25; available in my Highlights tab. BTW, I have lots of evidence and my DMs are open.)
