I agree, @bitcoinbutcher1, and agree with @MikaelXeeland--and there's more: even if Macquarie pulls the trigger on the ATM, the agreement forces $NUAI to BUILD the ATM, not USE it. Using it, and at what price in the future, is NUAI management's call. The other big point is what each side just revealed... NUAI negotiated specifically to AVOID an ATM overhang at this share price, as they are PROTECTING us shareholders. And Macquarie, with its October 8 deadline, voluntarily RELAXED a credit protection in July. They wouldn't grant courtesy waivers to borrowers if they expect to fight them in a few months. This is all very positive and BULLISH for how the next few weeks and months should go.
@AtlasShrug1 Agreed. And because of the warrants we should know from the SEC filing very soon after they start using the second tranche. Hoping we see that soon.
The hyperscaler deal with $NUAI may be announced sooner than expected. Look at the full Macquarie loan agreement on EDGAR--While everyone is watching October 8 as the drop dead date to trigger the next financing, the actual date buried in the documents is September 8. The next two tranche windows both close that day. So this deal was built around a lease signature before early September, not early October. And here is the bonusโฆevery $ draw forces NUAI to issue Macquarie warrants, which means SEC filings. So warrant paperwork before September 8 means Macquarie chose to lend more, which it has no obligation to do. Summer just got hotter. ๐ฅ

Really good work on this. The AWS-Talen comparison makes sense since PJM/FERC blocked exactly what Texas SB6 lets you do through PUCT. And you're right that the permitting discussion on the call was all county stuff, which I hadn't put together until I read your post. Vistra seems like the obvious counterparty given the adjacency and all the PPA deals they've been doing. Do you think the PPA filing ends up being how the Vistra piece becomes public, or do they keep that under wraps until the lease signs?

Also probably worth noting that $NUAIโs CFO Ted Warner came from Northland where he led their Energy, Power and Digital Infrastructure practice. Northland was the sole placement agent on $APLDโs December 2025 Macquarie development loan facilityโthe same Macquarie group, same Latham & Watkins legal structure, and same hyperscaler-driven framework that NUAI is now using. NUAI didnโt just follow the APLD templateโthey hired the banker who structured it.
Thatโs a cool analogy and graphic. I know pattern matching can be dangerous but the $APLD comparison seems legit. Setup is similar: a legacy energy company pivots to AI infrastructure, accumulation phase while fundamentals build, hyperscaler deal as the big catalyst. $WULF also followed a similar pattern. May not predict the timing or magnitude for $NUAI but may be worth noting two recent precedents where this playbook worked.
