Maybe it is a 50/50 merger, maybe a 2/3 merger or whatever. Nobody knows the future. So better be ready for a range of possible outcomes.

One minor comment from my side: $TSLA shareholders may always want a premium over the current share price, even if getting SpaceX on the cheap is a good deal. But there is enough buffer for that on SpaceX side.
