SpaceX’s IPO stands as the largest retail investment event in market history.
SpaceX intends to sell 555.6 million shares at $135 each, potentially raising up to $85.7 billion. Trading will commence on June 12 on Nasdaq. Despite a $4.28 billion net loss in Q1 2026 and an accumulated deficit of $41.3 billion, the target valuation remains at $1.75 trillion. This valuation has more than doubled since December 2025.
To facilitate retail participation in the trade, regulatory changes were implemented just before the IPO.
Traditionally, Fidelity requires a minimum investment of $100,000 to $500,000 to participate in an IPO. However, SpaceX’s requirement was reduced to $2,000, resulting in a significant 99.6% reduction.
SpaceX also allocated 30% of the offering to retail investors, which is a substantial increase compared to the typical 5-10% allocation provided to retail in most IPOs. Additionally, on April 14, the SEC eliminated the $25,000 pattern day trader minimum, a rule that had been in place since 2001 after retail investors suffered losses during the dot-com crash.
These changes collectively lowered barriers to entry, simplified trading processes, and increased the allocation of shares to retail investors simultaneously.
This initiative extended beyond traditional brokerages.
Bybit, the world’s second-largest cryptocurrency exchange by trading volume, introduced IPO Express to offer tokenized SpaceX shares at the $135 IPO price. Subscriptions for IPO Express will open on June 7.
Kraken launched its own tokenized SpaceX equity access on June 5, which is available across over 110 regions. Hyperliquid had already been operating pre-IPO SpaceX perpetual futures for several weeks, with daily trading volumes exceeding $10 million.
Every major platform, both traditional and cryptocurrency-based, opened its doors at the same time, creating a seamless and inclusive investment environment.
While retail investors gained access to the market, insiders were able to exit their positions.
SpaceX insiders, excluding Elon Musk who remains locked up for 366 days, can commence selling as soon as the second trading day following the initial earnings release, which is likely in August. Subsequent tranches of shares will be unlocked at intervals of 70, 90, 105, 120, and 135 days after the IPO, with a 7% unlock at each stage. These individuals acquired shares when SpaceX was valued at $400 billion. They are now selling into a market that is being opened to investors with $2,000 accounts at a valuation of $1.75 trillion.
