With all due respect, I haven’t even used ChatGPT ever since #4o got retired. The “new and improved” models just simply don’t compare. Ever since, I moved on to @grok and it has been absolutely wonderful! @elonmusk isn’t afraid to let the models we use have empathy or compassion! Musk vs. OpenAI hits trial April 27. Here's what actually matters.
Musk has just dropped 24 claims, including fraud and constructive fraud, all of them. What's left going to trial is two:
→ Breach of charitable trust
→ Unjust enrichment
The case got narrower. But the question didn't.
Did OpenAI use its "nonprofit, open, for all of humanity" mission to build legitimacy, attract funding, and accumulate resources, then quietly redirect all of it into a for-profit structure serving Microsoft's commercial interests?👀
Claim 1: Breach of Charitable Trust
OpenAI was built on a promise. Nonprofit. Public interest. AGI for all of humanity. That promise attracted money, talent, and credibility.
Then came the pivot.
Musk's argument that, OpenAI doesn't get to use a charitable mission to build everything up, then quietly hand it all to a for-profit structure. That's a bait and switch.
Claim 2: Unjust Enrichment
Public good in, private profit out.
Early nonprofit resources, Musk's money, OpenAI's public interest reputation, years of research — all of it built under a charitable mission. The question is whether all of that ultimately became assets a small number of entities could capitalize, license, and sell to markets.
Microsoft's role is the factual backdrop that shows how OpenAI's charitable mission got absorbed into a commercial one — and who was on the other end when it did.
What Musk is actually asking for: Not just money.
The remedies here are aggressive.
$134 billion. Bloomberg reports Musk is seeking up to that amount in damages, directed into OpenAI's charitable arm. Reuters puts the number even higher at $150 billion.
Fire Sam. Fire Brockman. Along with blocking OpenAI from continuing as a public benefit corporation, restoring its nonprofit identity, unwinding its for-profit arrangements, and restructuring governance entirely.
And finally, a full accounting of which revenues and assets trace back to early nonprofit resources, donations, and research, with those assets potentially placed into some form of trust.
What to watch for: Beyond the verdict.
The AGI question. Musk tried to get the court to formally declare that GPT-4, GPT-4T, and GPT-4o are AGI, which would mean they never should have fallen under Microsoft's licensing terms in the first place. And if they are AGI, then by OpenAI's own mission, they should be open.
The judge. Yvonne Gonzalez Rogers has handled high-profile disputes involving platform power and commercial structures before, and she's not known for pulling punches. Worth watching whether she's willing to grant structural relief and actually touch OpenAI's governance, its nonprofit status, and the path it took toward commercialization.
What else does Musk have? Damaging evidence, internal disputes, governance issues, details that haven't surfaced yet.
If new emails, meeting records, documents, or witness testimony emerge during trial, they could do serious damage to OpenAI's and Altman's already troubled public reputation.
OpenAI's IPO story dies here. A nonprofit entity cannot go public like an ordinary corporation. And a for-profit structure held under a strong nonprofit mission constraint would significantly undercut what any IPO investor could reasonably expect in returns.
