~20% discount to close of day of offering isn't terrible given the size and you're doing this with a convert as well. For small cap growth companies, hefty discounts are the norm until you grow up.

ASTS back when it was sub $1B market cap, had to take 20-30% discount to get an equity deal done. Thank goodness those days are over.
